1. Agreement to Terms

Welcome to Scop.ai - These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Scop.ai, LLC. ("Scop.ai," "we," "us," or "our") concerning your access to and use of the Scop.ai platform, including our website, mobile applications, and related services (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE PROHIBITED FROM USING THE PLATFORM.

2. Platform Description

Scop.ai is an AI prompt management platform that enables users to create, organize, share, and discover system prompts for AI models. Our Platform includes:

• Private prompt creation and management tools

• Collection systems for organizing prompts

• Public prompt gallery with community submissions

• Collaboration features and sharing capabilities

• AI-powered recommendations and improvements

3. Eligibility and Registration

Age Requirement: You must be at least 13 years old to use our Platform. Users under 18 must have parental consent.

Account Registration: You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Business Accounts: If you register using a corporate email address, your account may be transferred to your organization's business account upon their request.

4. User Content and Intellectual Property

Your Content: You retain ownership of prompts, descriptions, and other content you create ("User Content"). However, by using our Platform, you grant Scop.ai a worldwide, royalty-free, non-exclusive license to:

• Host, display, and distribute your content through our Platform

• Use your content to improve our services and AI capabilities

• Create derivative works for platform enhancement

• Sublicense these rights to our service providers

Public Content: Content submitted to our public gallery may be viewed, copied, and used by other users under our community guidelines.

Platform Content: All Platform features, algorithms, and proprietary technology remain our exclusive property.

5. Acceptable Use

You agree not to:

• Violate any laws, regulations, or third-party rights

• Create harmful, offensive, or inappropriate content

• Attempt to reverse engineer our Platform

• Use automated tools to extract data without permission

• Impersonate others or provide false information

• Interfere with Platform security or functionality

• Use the Platform for any illegal or harmful activities

6. AI and Content Generation

AI Accuracy: Content generated through our Platform may not always be accurate. You should review and verify all AI-generated content before use.

Content Responsibility: You are solely responsible for how you use prompts and AI-generated content from our Platform.

No Harmful Use: You may not use our Platform to create content that could cause harm to individuals or society.

7. Paid Services and Billing

Subscription Plans: Paid features are billed on a recurring basis according to your selected plan.

Payment Terms: You authorize us to charge your payment method for all applicable fees. Payments are non-refundable except as required by law.

Price Changes: We may modify pricing with 30 days' notice for subscription services.

8. Termination

We may suspend or terminate your account immediately if you violate these Terms or for any other reason at our discretion. You may cancel your account at any time through your account settings within Stripe.

9. Disclaimers and Limitations

Platform Availability: Our Platform is provided "as is" without warranties of any kind.

Limitation of Liability: Our liability is limited to the amount paid for services in the 12 months preceding any claim, not to exceed $100.

Third-Party Content: We are not responsible for third-party content or services accessed through our Platform.

10. Dispute Resolution

Governing Law: These Terms are governed by Arizona law.

Arbitration: Disputes will be resolved through binding arbitration, except for intellectual property claims and injunctive relief.

Class Action Waiver: You waive the right to participate in class actions or representative proceedings.
